EPS is a "black box" format that can contain many different things. Transparency is one of the issues, colour management another, and if there are more depends on the file itself.
Just curious - why do you say eps is a dying format, is it just about transparency?

Because it is not a necessary format any longer. There is nothing the format does better than either a .ai file or a .psd file or .pdf file. Unless, like I said, you are still using Quark which will choke on most files using those 3 formats.
